1. The agreement
These Terms of Service ("Terms") form a binding agreement between you and LoonieLedgr Inc., a British Columbia corporation ("LoonieLedgr", "we", "us"). By creating an account or using the service, you accept these Terms. If you don't agree, don't use the service.
2. Your account
- You must be at least 18 years old to create an account.
- You're responsible for keeping your password and 2FA codes secure. Notify us immediately at security@loonieledgr.ca if you suspect unauthorized access.
- Information you provide must be accurate. Knowingly providing false information (e.g., another person's SIN) is grounds for immediate account termination and possible criminal referral.
- One account per legal entity. If you operate multiple businesses, each needs its own subscription.
3. The service
LoonieLedgr provides bookkeeping software designed for Canadian content creators and small businesses. The service includes:
- Automated transaction categorization based on the Excise Tax Act and Income Tax Act
- Tax form preparation (T2125, GST34, T1135, etc.)
- Reporting tools and calculators
- Accountant portal access
We continuously improve the service. Specific features may be added, modified, or removed. Material removals will be announced 30 days in advance.
4. Not professional advice
Important. LoonieLedgr is software. We are not your accountant, lawyer, or financial advisor — even though our team includes CPAs. The information we provide is based on Canadian tax law as we interpret it, but our interpretation may differ from CRA's, and tax law changes regularly.
You are solely responsible for the accuracy of your tax filings. We strongly recommend that you have a qualified CPA review your books before filing — particularly for your first year using the service, for any year with foreign income above $100,000, for any year you incorporate or dissolve a business, or for any year you receive a CRA notice.
Our calculators (Should I Incorporate?, Owner Pay, etc.) produce illustrative outputs based on simplified assumptions. They are decision-support tools, not advice. Discuss real decisions with a real CPA.
5. Payments
- Subscription fees are in CAD and billed monthly or annually in advance, depending on the plan you choose.
- Payments are processed by Stripe. You authorize us to charge your saved payment method on each billing cycle.
- If a payment fails, we'll retry up to three times over seven days. If all retries fail, your account moves to suspended status until payment is resolved.
- Refunds: month-to-month subscriptions are non-refundable but cancellable at any time (you keep access until end of billing period). Annual subscriptions are refundable on a pro-rated basis within the first 30 days, non-refundable thereafter.
- Plan upgrades are pro-rated and charged immediately. Plan downgrades take effect at the next renewal.
- We may change pricing with 60 days' notice for new subscriptions; existing subscriptions retain their pricing for the duration of their current term plus one renewal.
6. Your data
You own your data. We have a license to process it for the limited purpose of providing the service. See our Privacy Policy for the full breakdown.
You can export your data at any time. If we cease operations, we commit to providing 90 days' notice and a complete export.
7. Prohibited use
You agree not to:
- Use the service for any illegal purpose, including tax evasion or money laundering
- Provide false information to the system (e.g., fabricated transactions, fake SINs)
- Attempt to access another customer's account or data
- Reverse-engineer, scrape, or attempt to extract our classification logic
- Use the service to provide bookkeeping services to others without our written partnership agreement (this is what the accountant portal is for)
- Interfere with the operation of the service (DDoS, exploit attempts, etc.)
8. Intellectual property
We own the LoonieLedgr name, logo, source code, classification logic, and all related intellectual property. You don't gain any rights to these by using the service.
You own your data and the content you upload. By using the service, you grant us a worldwide, non-exclusive, royalty-free license to use that data for the sole purpose of operating the service for you.
9. Termination
You can cancel at any time from your account settings. Cancellation takes effect at the end of your current billing period.
We may suspend or terminate your account if you breach these Terms, fail to pay, or use the service in ways that create risk for us or other users. We'll give you reasonable notice except in cases of legal compulsion or active fraud.
On termination: your subscription ends; we retain your data per our retention policy; you can export your data within 180 days.
10. Warranties and disclaimers
The service is provided "as is" and "as available". We don't guarantee:
- Uninterrupted access (we target 99.9% uptime but can't promise 100%)
- That every classification we suggest is correct (you and your CPA are the final reviewers)
- That the service will meet every regulatory requirement that may apply to your specific situation
- That data fetched from third-party APIs (banks, platforms) will always be complete or timely
To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of liability
To the maximum extent permitted by applicable law, our total aggregate liability for any claim arising out of or related to the service is limited to the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) CAD $100.
We are not liable for: lost profits, lost data (beyond reasonable backup-recovery efforts), CRA penalties or interest assessed against you (even if related to a classification error in our software), or any consequential, special, indirect, or punitive damages.
This limitation does not apply to: gross negligence, willful misconduct, fraud, or any liability that cannot be limited under applicable Canadian law.
12. Indemnification
You agree to indemnify and hold LoonieLedgr harmless from any claim arising out of your breach of these Terms, your misuse of the service, or your violation of any law or third-party right (including intellectual property rights).
13. Governing law and disputes
These Terms are governed by the laws of the Province of British Columbia and the applicable federal laws of Canada. Disputes will be resolved in the courts of British Columbia, located in Vancouver.
Before initiating any formal dispute, you agree to first contact us at legal@loonieledgr.ca and attempt good-faith resolution for at least 30 days.
14. Changes to these Terms
We may update these Terms occasionally. Material changes will be emailed to you 30 days in advance and posted on this page. Continued use after the effective date constitutes acceptance.
